Garanti BBVA holds its Ordinary General Shareholders' meeting once a year. The meeting is open to the participation of all shareholders. Borsa Istanbul (BIST) and Capital Markets Board (CMB) are apprised of the date of the meeting the same day the Board of the Directors decide on a date. Shareholders may apply Garanti BBVA branches to obtain an admission card to the meeting. Branches provide full information and guidance regarding procedure and voting.
In accordance with the provisions of Article 438 of the Turkish Commercial Code numbered 6102 (the “Code”), the shareholders may request the appointment of an independent auditor whenever it necessitates exercising their shareholders' rights in the general assembly meeting, although it is not included in the agenda, and provided that the information or evaluation right specified in the Code has already been exercised. In case of such request, our Bank uses its best endeavors to facilitate the use of the said right by the shareholders.
In accordance with the provisions of Article 411 of the Turkish Commercial Code numbered 6102, the shareholders holding at least 5% of the share capital, may request from the Board of Directors that an extraordinary general assembly meeting be convened by mentioning the reasons in writing and adding the agenda, or if a date has already been established for the general assembly meeting, may request the inclusion to the agenda of the subjects they wish to be discussed in the meeting. In case of such request, our Bank uses its best endeavors to facilitate the use of the said right by the shareholders.

You can view the "by-laws regarding the working principles and procedures of the general assemblies of the Bank", which has been prepared and approved by the Board of Directors in accordance with the Turkish Commercial Code and the Regulation on Procedures and Principles of General Assembly Meetings of Joint Stock Companies and the Ministry of Customs and Trade Representatives Attending Such Meetings issued by the T.R. Customs and Trade Ministry.
